1. What Mate Wallet is, and what it is not

Mate Wallet is a non-custodial software wallet for a single asset: USDT on the TON blockchain. It is a tool that stores keys on your device and helps you sign and broadcast blockchain transactions.

Mate Wallet is not a bank, not a bank account, not a custodian, not a money transmitter, not an exchange, and not a financial product. We do not hold your funds. We do not hold, escrow, or have access to your private keys or your recovery phrase at any time. There is no account with us, no deposit with us, and no balance owed to you by us.

The app does not offer exchange of one asset for another, does not offer buying or selling for fiat currency, does not offer lending, staking, yield, or any form of investment return, and does not perform identity verification (KYC) or hold funds on your behalf.

1.1 Amounts shown in US dollars

Amounts shown in US dollars are an informational equivalent of your USDT balance. USDT is a token issued by a third party; it is not a US dollar, not a deposit, and not a financial product. Mate Wallet is not a bank account.

USDT (Tether) is issued and administered by a third party with which we have no relationship and over which we have no control. Its value, redeemability, and continued existence are entirely outside our control. USDT may trade above or below one US dollar.

The app counts one USDT as one US dollar. The figure shown with a $ sign is your USDT amount, displayed in dollars at a fixed rate of 1:1. It is not a market conversion and is not updated from any exchange rate. If USDT trades above or below one dollar, the figure shown will not reflect that difference, and the amount you can obtain for your USDT elsewhere may be more or less than the figure displayed.

The amount actually transferred, and the amount actually recorded on the blockchain, is always the USDT amount.

2. Your keys, your responsibility

When you create a wallet, the app generates a 24-word recovery phrase on your device. That phrase, and the private key derived from it, are the only means of controlling your funds.

You are solely responsible for keeping your recovery phrase secret and for keeping at least one copy of it that you control.

3. Transfers are final

Blockchain transfers are irreversible. Once a transfer is broadcast and confirmed, it cannot be cancelled, recalled, reversed, or refunded by us, by the network, or by anyone else.

You are solely responsible for verifying, before you confirm a transfer:

Mate Wallet transfers USDT on the TON network only. Sending to an address of another network (for example Ethereum or TRON) will result in permanent loss.

4. Transactions are public

Every transfer you make is recorded permanently on the public TON blockchain. Your wallet address, the amounts, the counterparty addresses, the timestamps and any comment you attach are publicly visible to anyone, forever, and cannot be deleted by us or by you. Anyone who learns that an address belongs to you can see its entire history.

5. Backup to iCloud Keychain

Backup is optional and off by default. If you turn it on, a copy of your recovery phrase is written to your own iCloud Keychain, which is operated by Apple under your Apple ID. We do not receive it, do not store it, and have no access to it.

You should understand the following before enabling it:

Backup is a convenience. It does not replace writing your 24 words down and keeping them somewhere you control.

6. Third-party services we depend on

Mate Wallet relies on services operated by others. We do not control them, do not guarantee their availability, correctness or continuity, and are not responsible for them.

Network fee. Mate Wallet charges no service fee in this version. The "Transfer fee" you see is the cost of the transfer itself, charged in USDT by the relaying service that pays the network gas on your behalf. It is quoted to you before you sign and is not retained by us.

If the relaying service is unavailable, rejects your transfer, or changes its terms, transfers may be temporarily impossible. There is no fallback in this version. We do not guarantee that a transfer can be made at any particular time.

Information shown in the app comes from these services and we cannot independently verify it. Balances, history, rates and the status of a transfer are all reported by a single third-party provider. We display what that provider reports. If it reports something incorrect, the app will show something incorrect, and we have no second source against which to check it. This is a known property of this version.

7. Eligibility and restricted persons

You may use Mate Wallet only if all of the following are true. By using the app you represent, each time you use it, that they are.

If any of these stops being true, you must stop using the app. You remain able to move your funds using your recovery phrase in any other wallet, because we hold nothing and can block nothing.

8. Permitted use

You may use Mate Wallet for your own lawful purposes. You may not use it to facilitate unlawful activity, attempt to interfere with its security, or misrepresent it as a product of someone other than Mate App LLC.

9. No warranty

Mate Wallet is provided "as is" and "as available", without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the app will be uninterrupted, error-free, or that any transfer will succeed.

10. Limitation of liability

Read this together with §11, which says where the app is offered.

To the maximum extent permitted by applicable law:

  1. Mate App LLC is not liable for any loss of funds, loss of access to funds, loss of data, or any indirect, incidental, special, consequential, exemplary or punitive damages, or loss of profits, arising out of or in connection with your use of or inability to use Mate Wallet.
  2. This includes, without limitation, loss resulting from: a recovery phrase you lost, forgot, mistyped or disclosed; a transfer sent to a wrong, mistyped or substituted address; a transfer sent to an address on another blockchain network; a transfer missing a memo or tag the recipient required; failure, delay, error, outage or compromise of any third-party service we depend on, including the relaying service and the blockchain itself; the conduct, solvency or decisions of the issuer of USDT; the compromise of your device, your Apple ID or your iCloud Keychain; or the act of any third party.
  3. Where liability cannot lawfully be excluded, our total aggregate liability for all claims arising out of or relating to Mate Wallet is limited to the greater of (a) the total amount you have paid us for the app, and (b) US $50. You pay us nothing: the app is free and we charge no service fee, so (b) is the operative figure.
  4. Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.
  5. These limits apply regardless of the form of action, whether in contract, tort, strict liability or otherwise, and apply even if we have been advised of the possibility of such damages.

11. Where Mate Wallet is offered

Mate Wallet is offered only in the countries and regions selected in the App Store. It is not offered in the European Union or the European Economic Area. It is not offered in any country or region subject to comprehensive United States sanctions.

If the app is not available in your country or region, it is not offered to you, and these terms do not constitute an offer there.

12. No financial, investment, tax or legal advice

Nothing in the app or in these terms is financial, investment, tax or legal advice. You are responsible for any tax arising from your activity.

13. Changes

We may update these terms. The current version is the one published at https://mateapp.org/terms/. Continuing to use the app after an update means you accept the updated terms. If we make a change that materially reduces your rights or materially increases your obligations, we will say so on that page and change the version date. If you do not accept an update, stop using the app and move your funds using your recovery phrase.

14. Termination

You may stop using the app at any time by deleting it. Deleting the app does not delete your funds — they remain on the blockchain and remain accessible with your recovery phrase. Deleting the app without your recovery phrase, and without an iCloud backup, permanently loses access to your funds.

15. Governing law, disputes and contact

These terms, and any dispute arising out of or relating to them or to Mate Wallet, are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules.

Any dispute that cannot be resolved informally shall be brought exclusively in the state or federal courts located in that state, and you and we each consent to the personal jurisdiction of those courts.

Before bringing a claim, contact us. Most problems with a self-custody wallet turn out to be a misunderstanding of how self-custody works, and we would rather explain it than litigate it. Write to us at the address below and give us 30 days.

Consumer rights. If you are a consumer, the mandatory consumer rules of the place you live may give you rights this section cannot take away, including the right to bring a claim where you live. Where that is so, those rules prevail over this section. Nothing here is intended to deprive you of a protection you cannot waive.

There is no mandatory arbitration clause and no class-action waiver.

Appendix A — terms Apple requires in a developer's own EULA

Apple's App Store rules say that a developer who supplies their own licence terms, instead of relying on Apple's standard EULA, must include certain provisions. They are written out here so that they exist and are easy to check. They are not optional, and their absence is a routine cause of rejection.

  1. Acknowledgement. This agreement is between you and Mate App LLC only, and not with Apple. Mate App LLC, not Apple, is solely responsible for Mate Wallet and its content. This agreement does not provide for usage rules for Mate Wallet that conflict with the Apple Media Services Terms and Conditions.
  2. Scope of licence. The licence granted to you for Mate Wallet is a non-transferable licence to use Mate Wallet on any Apple-branded device that you own or control, and as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions.
  3. Maintenance and support. Mate App LLC is solely responsible for providing any maintenance and support services for Mate Wallet, as specified in these terms or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services for Mate Wallet.
  4. Warranty. Mate App LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of Mate Wallet to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for Mate Wallet to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to Mate Wallet, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be Mate App LLC's sole responsibility.
  5. Product claims. Mate App LLC, not Apple, is responsible for addressing any claims by you or any third party relating to Mate Wallet or your possession and use of it, including: product liability claims; any claim that Mate Wallet fails to conform to any applicable legal or regulatory requirement; and claims arising under consumer protection, privacy, or similar legislation.
  6. Intellectual property rights. In the event of any third-party claim that Mate Wallet or your possession and use of it infringes that third party's intellectual property rights, Mate App LLC, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of any such claim.
  7. Legal compliance. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and that you are not listed on any U.S. Government list of prohibited or restricted parties. (This is the same representation you make under §7.)

  9. Third-party terms of agreement. You must comply with applicable third-party terms of agreement when using Mate Wallet.
  10. Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these terms, and upon your acceptance of them, Apple will have the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
